Part A - Introduction

Definitions

FTA” means Fanto Gaming Ltd Limited (company number 08517959) whose registered office is at 10 Summers Close, Banbury, England, OX17 3PL and references in these Terms and Conditions to "FTA", "we", "us" or "our" will be to Fanto Gaming Ltd Ltd. FTA is licensed and regulated by the Gambling Commission under the Gambling Act 2005, licence number 000-037148-R-318458-002.

“Auction” "Auction" means a competition created by FTA where customers are assigned "fantasy money" in order to purchase fantasy players "players" via the means of an interactive auction against other customers. These players will score point’s base on real life events. The customer will be ranked in order of the number of points scored in the allotted period of the competition.

“DIY” means a competition where a team of players is picked by the customer for the allotted period. The process if conducted independent to other customers. These players will score point’s base on real life events. The customer will be ranked in order of the number of points scored in the allotted period of the competition.

“EPL” means English Premier League.

“Services” the betting services offered in relation to the Auctions or DIY by FTA.

Account

If you wish to participate in any "Services" for real money, you will need to open an account with us. By opening an account with us, you agree to be bound by our Account Terms and Conditions of Use.

Please read these Terms and Conditions carefully before opening an account with us.

Betting

Before beginning to bet, you should read through our Betting General Conditions which apply to you and to each of your betting transactions as set out below.

By entering into any betting transactions on our site, you agree to be bound by our Betting General Conditions.

Betting General Conditions are applicable to participation in any Auction and/or DIY run by FTA.

Part B - Account Terms and Coditions of use

Please read these Terms and Conditions carefully before opening an account with us.

Please also read our Cookie Policy, Dispute Resolution Policy, and the provisions regarding FTA Charges which are incorporated by reference into these Terms and Conditions. If there is any inconsistency between these Terms and Conditions and any of the documents listed above, these Terms and Conditions will prevail.

By clicking the "I Confirm" button on the account opening screen, you agree to be bound by these Terms and Conditions.

Your account

In consideration of our accepting your application to open an account, you represent to us (and acknowledge that we rely on these representations) as follows:
You are 18 years of age or over, of sound mind and capable of taking responsibility for your own actions and that you can enter into a legally binding agreement with us;
You agree to provide accurate registration information, including without limitation your correct date of birth. You agree to inform us of any changes in such details;
You are the person whose details are provided in connection with your registration or, in the case of legal entities, you are a duly authorised representative of the relevant legal entity;
You are acting as a principal and not as an agent on behalf of a third party;
You are not an undischarged bankrupt or in a voluntary arrangement with your creditors;
You are not located in the United States of America, Turkey or any other country with a comparable legal situation - FTA may from time to time determine these countries.

It is your responsibility to keep your contact details up-to-date on your account. Failure to do so may result in you failing to receive important account related notifications and information from FTA, including changes we make to FTA’s terms and conditions.

You are solely responsible for the security and confidentiality of your account. In particular, you agree to keep your username and password strictly confidential and you are responsible for any misuse of your password. Provided that we have been correctly supplied with the account information requested, we are entitled to assume that offers and payments are made by you. You should change your password on a regular basis and never disclose it to any third party. You undertake to protect your username and password in the same way that you would in respect of your bank cards and any failure to do so shall be at your sole risk and expense. If another person accesses your account, you are solely responsible for all their actions whether or not their access was authorised by you and you hereby indemnify us and hold us harmless against all costs, claims, expenses and damages howsoever arising in connection with the use of or access to your account by any third party.

You will not attempt to sell or otherwise transfer the benefit of your account to any third party and nor will you acquire or attempt to acquire an account which has been opened in the name of a third party.

Multiple accounts

It is strictly prohibited that customers hold multiple accounts and any existing users are not permitted to open a new account with FTA.

Any customer that has more than one FTA account is required to nominate a single FTA account to use across FTA’s products by contacting the FTA . Customers that continue to operate multiple FTA accounts will have their accounts ‘linked’ and managed accordingly.

Should FTA believe, using its absolute and sole discretion, that you have:
- registered and/or used more than one account;
- and/or acted in collusion with one or more other individuals through a number of different FTA accounts to participate in the same Auctions;
- we reserves the right to withhold any winnings arising from such behaviour.

Deposit and withdrawal of Funds

To bet or to play games for money on FTA, you need to deposit funds which will be held in a segregated account which the firm treats as a client monies account under the ICAEW guidelines and principals.

Strictly under no circumstance does Fanto utilise client money for any business activities. We are required by our licence to inform customers what happens to funds which we hold on account for you, and the extent to which these funds are protected in the event of insolvency. Currently the funds would not be protected against insolvency. This meets the Gambling Commission requirement for the segregation of customers funds at the level: Basic segregation. The definition or risk is defined by the gambling commission and can be found at this link: http://www.gamblingcommission.gov.uk/Consumers/Protection-of-customer-funds.aspx.

By accepting these terms and conditions you acknowledge receipt of this information.

The funds in your account are held on your behalf by way of security to meet any payment obligations you may incur as a result of betting or playing games on our site or using any of the products or services supplied by FTA. You undertake that:
- all money that you deposit in your account is untainted with any illegality and, in particular, does not originate from any illegal activity or source;
- all payments made into your account are authorised and you will not attempt to reverse a payment made into your account or take any action which will cause such a payment to be reversed by a third party, in order to avoid any legitimate liability.

You accept that all transactions may be checked to prevent money laundering and that any transactions made by you which FTA deems suspicious, may be reported to the appropriate authorities.

We have a number of controls and checks that take place before any withdrawal request is processed by FTA. These checks are part of our ongoing commitment to maintaining the security of our customers’ funds. All withdrawals requests are therefore only processed after the expiry of a set period of time from the withdrawal request being made.

Privacy

The information that you send to us will be processed in accordance with our Privacy Policy.

You authorise us, at any time, to use any means that we consider necessary to verify your identity and creditworthiness with any third party providers of information.

You agree to indemnify us and hold us harmless in respect of the release of any personal (or other) data pursuant to our Privacy Policy.

You agree that we may from time to time use your name, the name of your home town and/or your image in publicity and/or our promotional materials. We would only seek to do this if you won a large amount of money on one of our products and we would always notify you before using your details and/or your image.

Indemnity

You acknowledge that FTA and its affiliates will hold information with respect to your identity, including but not limited to your name, address and payment details. You agree that we rely on this information in entering into our agreement with you and you agree to hold us harmless against any falsehood or inaccuracy contained in the information you provide us.

Errors and Omissions

You will inform us as soon as you become aware of any errors with respect to your account and you will forfeit any amounts shown to be in your account that result from human error or technical fault.

Suspension or termination

Either we or you may suspend or terminate your account at any time, either with or without cause, upon notice (we will use our reasonable endeavours to give such notice to you either before or after suspending or terminating your account). Please contact the FTA if you would like to close your account.

We may take steps to block you from betting on, or using our site (or any part of it) if you are located in certain jurisdictions.

Following termination or suspension of your account, we will, in the normal course of events, return any funds in your account to you. Please contact the FTA to recover any funds held in suspended or closed accounts.

However, we reserve the right to withhold the funds in your account from you pending the determination of any investigation (including any relevant external investigation) where:
- we suspect you have acted in breach of these Terms and Conditions or any other agreement relevant to your activities on our site, including where we suspect the account has been linked with fraudulent or dishonest activity;
- and/or we have to withhold the funds in your account by law or to comply with any advice, request or instruction from any governmental, regulatory or enforcement authority.

Following the determination of any such investigation we reserve the right to seize some or all of the funds in your account, if we are satisfied that you have acted in breach of these Terms and Conditions or any other agreement relevant to your activities on our site. We will deal with any funds obtained by us in this manner at our sole and absolute discretion and/or in accordance with any advice, request or instruction from any governmental, regulatory or enforcement authority.

In addition, if formally requested by the police, gambling regulators or taxation or other authorities or in the event that you fail to provide us with sufficient information to identify yourself in accordance with our own internal procedures or those imposed on us by regulatory authorities (wherever based) we may suspend your account and all functionality relating to the use of your account (e.g. Auction management and withdrawal of funds) and withhold from you any funds in your account pending determination of any criminal or other legal proceedings or investigation to which such a request may relate or until you provide the necessary 'know your client' or 'age verification' information as appropriate.

For the avoidance of doubt at no point during any such period will interest accrue to you on any funds in your account.

Assignment

You may not assign these Terms and Conditions to any third party. FTA may assign, transfer or novate any or all of its rights and obligations under these Terms and Conditions to any third party at any time without notice to you.

Severability

In the event that any provision of these Terms and Conditions is deemed by any competent authority to be unenforceable or invalid, the relevant provision shall be modified to allow it to be enforced in line with the intention of the original text to the fullest extent permitted by applicable law. The validity and enforceability of the remaining provisions of these Terms and Conditions shall not be affected.

Any provision of these Terms and Conditions that is invalid, illegal or unenforceable in any jurisdiction will be ineffective in that particular jurisdiction, without affecting the validity, legality or enforceability of that provision in other jurisdictions.

Dispute resolution

In the event of a dispute arising between us and you, we each agree to follow the procedure set out in our Dispute Resolution policy as amended from time to time.

Amendments

We reserve the right to make changes to these Terms and Conditions at any time. Whenever an amendment is made to the Terms and Conditions you shall be informed when you next log into the website. You will be asked to verify you have read the Terms and Conditions and your continued use of the site will be deemed to be your acceptance of any changes we may make.

Communications and notices

Communications and notices to be given by you to us under these Terms and Conditions should be provided to us as set out in the Contact us section.

Governing Law and Jurisdiction

Terms and Conditions will be governed by the laws of England and Wales.

Promotional codes

FTA may, in FTA's sole discretion, create, promotional codes that may be redeemed for Free Credits or other features or benefits related to a Third Party Provider’s services, subject to terms that FTA establish on a per promotional code basis ("Promo Codes"). You agree that Promo Codes: (i), must be used for the intended audience purpose, and in a lawful manner; (ii) may not be duplicated, sold or transferred in any manner, or made available to the general public, unless expressly permitted by FTA; (iii) may be disabled by FTA at any time for any reason without liability to FTA; (iv) may only be used pursuant to the specific terms that FTA establish for such Promo Code; (v) are not valid for cash; and (vi) may expire prior to your use. FTA reserves the right to withhold or deduct credits or other features or benefits obtained through the use of Promo Codes by you or any other user in the event that FTA determines or believes that the use or redemption of the Promo Code was in error, fraudulent, illegal, or in violation of the applicable Promo Code or these Terms.


Part C - Betting General Conditions

These are applicable to all bets placed on our sites.

FTA provides a platform upon which you can enter into various betting transactions.

You can only participate in an Auction or DIY via:
- on our site (the "Website Service");
- the app ("App").

In these General Conditions when we refer to "the Services" we mean all the services listed above (where applicable).

Please read these General Conditions carefully before entering into any betting transactions.

Please also read our, , Privacy Policy, Cookie Policy, Dispute Resolution Policy, , provisions regarding the FTA Charges, the conditions relating to FTA Mobile(if you plan to access the Services by mobile phone). All of these documents are incorporated by reference and form part of these General Conditions.

By entering into any betting transactions, you agree to be bound by these General Conditions ("the Agreement").

Conditions relating to your use of the services

Licence to use our site

FTA grants you a limited licence to access our site provided that you comply with this Agreement.

The availability of our site does not constitute an offer or invitation by FTA to use the site in any jurisdiction in which such use is illegal.

Your use of our site or any data feeds we may provide to you confers no rights whatsoever to the content and related intellectual property rights contained on our site or on any such data feeds. You agree not to monitor, use or copy our web pages or any of our web content, including without limitation any price data. You will not attempt to hack, make unauthorised alterations or introduce any kind of malicious code to the site by any means. You will not (a) reverse engineer or decompile (whether in whole or in part) any software available through the site; or (b) make copies, modify, reproduce, transmit, alter or distribute all or any part of the site or any material or information contained on it. Any unauthorised use or reproduction may be prosecuted.

Use of our Services

You understand that you may lose money on bets placed and accept that you are fully responsible for any such loss. You accept that under no circumstances will any amounts lost by you under any bet be recoverable from us.

It is your responsibility to verify that you are permitted to bet with us according to the jurisdiction of your domicile or habitual residence and/or in which you are located and you agree that you will not bet with us while you are located in a jurisdiction which prohibits you from betting with us.

You undertake to use our services for legitimate betting purposes only. In particular you undertake not to (i) engage in any activity which has the purpose or effect of causing damage to or in any way hindering our business operations or generating or increasing a liability on us, including without limitation any tax, levy or duty collecting authority; or (ii) bet on, or manipulate any individual "Service" in a manner which we believe has the purpose or effect of adversely affecting the integrity of the "Service".

Your Conduct

You will not attempt to use the Auction to deliberately transfer money from one FTA account to another by attempting to create a monopoly in an Auction with another account through collusion.

You will inform us as soon as you become aware of any errors in calculations with respect to any betting transaction. We reserve the right to declare null and void any bets which are the subject of such an error.

You will not disguise or interfere in any way with the IP address of the computer you are using to access the site or otherwise take steps to prevent us from correctly identifying the actual IP address of the computer you are using whilst accessing the site.

You agree it is your responsibility to account for any tax or duty imposed on you as a result of any of your betting transactions.

You will not make offensive comments, use offensive or pornographic material or make potentially defamatory or inflammatory remarks in connection with the forums or any other part of our site including within your own username or other information contributed to our site.

Privacy

Any information you send to us will be processed in accordance with our Privacy Policy.

You authorise us, at any time, to use any means that we consider necessary to verify your identity and creditworthiness with any third party providers of information (or such other third party that we may use from time to time).

We reserve the right to record ALL telephone calls to and from FTA and to monitor all information relating to betting activities for which purposes you consent in accordance with the requirements of the Regulation of Investigatory Powers Act 2000 and such other legislation as may be applicable.

You agree to indemnify us and hold us harmless in respect of the release of any personal (or other) data pursuant to this Agreement.

Conditions relating to betting

Operation of our Services

You are responsible for understanding the contents of our site and the operation of the Services and we reserve the right to change the format of the Services in order to enhance such Services.In playing our games you agree to adhere and comply with the rules and operations of these services as detailed in the how to play guide.

If the auction suffers technical problems and is offline for more than 15 minutes the auction shall be closed to avoid disadvantaging any customers.

Cancellation, Termination, Suspension and Breach

We may restrict your access to FTA, suspend or terminate your account, withdraw your offers within Auctions, void any Auctions outstanding to your account, without cause at any time including if:
- there is a technological failure;
- we suspect that you are engaging in illegal or fraudulent activity;
- we suspect that you have (or may have) breached any part of this Agreement;
- we suspect you are acting in a manner that is detrimental to the conduct of our business or which may result in legal liability for you, us or third parties;
- we suspect that you may be having difficulties obtaining credit;

In relation to any cancelled or void Auctions, we reserve the right to demand that you pay us the relevant outstanding amount relating to these bets.

Gambling by those under age

Underage gambling is an offence. If we are notified that you are under 18 or were under 18 when you entered into any betting transactions on our site ("under age"):

- we will immediately prevent you from entering into any betting transactions or making any withdrawals from or use of your account;
- we will investigate the claim that you are or were under age, including whether in fact you have been betting as an agent for or at the behest or on behalf of another person;
- if we find that you are or were under age, any winnings which have accrued shall remain in your account or which are otherwise due to be credited to your account should be paid to us;
- you must pay to FTA all winnings gained from betting whilst under age on demand. Should you not comply with this duty we will seek to recover from you or to set off against any stakes placed by you any winnings paid to you as a result of bets placed together with the costs of such recovery. Any sums recovered will belong to FTA;
- we will not return to you any charges paid by you to us in respect of Auctions made whilst you were under age;

Service Settlement

Subject to these General Conditions we will settle "Service" in a timely manner which is normally 24 hours. Any winnings will be credited to the customers online wallet. We reserve the right to reverse or amend settlement in the event of an "Service" being settled incorrectly. This may lead to amendments being made to your account to reflect changes in "Service" settlement and if there are insufficient funds in your account we may demand that you put funds into your account to address the outstanding balance.

Any amount of winnings or losses relating to your bets on an "Service" will be rounded to the nearest two decimal places. If the amount ends in 0.5 it will be rounded up.

The level of deductions for overheads, taxes, profits for the Auction will be made clear on the charges metrics found in the Lobby. The DIY is paid out on a fixed payment schedule. Fanto will subsides/deduct charges for overhead, taxes and commission from the deficit/surplus caused by the size of the pool. In the case where two or more customers tie in the number of points scored during a competition, the sum of the prized due across the "tied" positions will be summed up and paid out in equal proportion to each customer. E.g. 1st and 2nd place score the same number of points. Assuming a £10 competition each customer will be paid £32.50 each (£40+£25/2). 3rd place will be paid out £15.

Conditions relating to us

Commission and payment structure

We charge a commission calculated by reference to size of the pot for each Auction. The DIY prize is set dependent on the entrance fee. The commission payment schedule can be found in FTA Charges .

In certain specified circumstances, you may also incur certain other charges. Any additional charges shall be communicate prior to the debit.

We reserve the right to amend our policy as set out in FTA Charges as amended from time to time.

We will calculate the amounts that you owe us and will deduct such amounts from your account and will transfer such amounts to us.

Any amounts owed to us will be rounded to the nearest two decimal places. If the amount ends in 0.5 it will be rounded up.

Fanto will make deductions from each pool to cover operational costs, taxes and commissions. The percentage of deduction is based on the size of the pool. Please refer to the below table to see the percentage of deduction based on the number of participants.

Matters beyond our reasonable control

Without prejudice to our obligations contained within the various laws and regulations of the jurisdictions where we are licensed, we are not liable for any loss or damage that you may suffer because of any: act of God; power cut; trade or labour dispute; act, failure or omission of any government or authority; obstruction or failure of telecommunication services; or any other delay or failure caused by a third party or otherwise outside of our control. In such an event, we reserve the right to cancel or suspend our services without incurring any liability.

We are not liable for the failure of any equipment or software howsoever caused, wherever located or administered, or whether under our direct control or not, that may prevent the operation of the Services, impede the placing of offers for bets or the matching of bets, or prevent you from being able to contact us.

We will not be liable for any failure to perform by a third party to our Agreement.

Indemnity

You agree to indemnify and hold us and our associated companies, affiliates, officers, directors, agents and employees harmless from any liabilities, claims, losses or demands made by any third party arising out of your breach of this Agreement (including documents incorporated by reference) or out of your violation of any law or the rights of any third party.

You acknowledge that FTA and its affiliates will hold information with respect to your identity, including but not limited to your name, address and payment details. You agree that we rely on this information in entering into this Agreement and you agree to hold us harmless against any falsehood or inaccuracy contained in the information you provide us.

Limitation of liability

We exclude all representations and warranties as to the satisfactory quality and/or fitness for its intended purpose and/or accuracy and completeness of the Services to the maximum extent permitted by law.

We will not be liable to you for any loss that you may incur as a result of misuse of your password, and we accept no liability resulting from its unauthorised use, whether fraudulent or otherwise.

In no event will we, or any of our suppliers, accept any liability however arising for any losses you may incur as a result of using the Services. Under no circumstances will our liability under this Agreement or for breach of contract, tort, equity or otherwise exceed your exposure limit as specified in your account. Under no circumstances will we be liable for any indirect, special or consequential damages, loss of profits (direct or indirect) or the benefit of any bet arising from breach of contract, negligence, equitable duty (including for the avoidance of doubt in relation to any bet(s) or Auction(s) voided by us) or other liability even if we had been advised of or known (or should have known) of the possibility of such damages or loss.

Nothing in this Agreement excludes our liability with respect to death and personal injury resulting from our negligence, or that of our employees, agents or subcontractors.

Right of set off

We may at any time, without notice to you, set off any liability owed to us or to our customers by you, including (without limitation) in relation to any FTA account in your name or which we believe to be under your control:
- against any funds held in another FTA account in your name or which we believe to be under your control;
- and/ or against any liability that we determine that you have to us in pursuant to these Terms and Conditions, including (without limitation) pursuant to the FTA Charges.

Intellectual property

FTA Limited is the owner of:
- a. all copyright and related rights in and to our site, including, without limitation, rights in databases and all rights in any price data and related content on our site except for certain third party rights (referred to below);
- b. all trade mark rights, whether registered or unregistered, in and to FTA and the FTA logo;
- c. the domain name www.fanto.com which is our uniform resource locator ("URL").

The following use of price data or any other data or content from our site or via the API (Application Programming Interface) or any other FTA data from any other source (together, "FTA Data") is strictly prohibited without the specific prior written consent of FTA:
- commercial use by any person;
- and/or any use for any purpose by a competitor of the FTA group of companies, or an employee, contractor or agent of any such competitor ("Restricted Person"), provided always that Restricted Persons may place bets.

Screen scraping, web scraping or any other automated or manual collection of FTA Data, for commercial use by any person and/or for any use by a Restricted Person, is expressly prohibited.

Any unauthorised use of any of the above rights may result in prosecution or other action being taken against you.

You hereby assign to FTA absolutely, any and all copyright and other intellectual property rights throughout the world in all media whether now known or hereafter developed, for the full period of copyright, including by way of present assignment of future copyright and all other rights whatsoever, in any offers for bets or bets placed by you on our site.

Any data licensed to FTA and/or from third parties is provided for use on our site only and may not be used for any commercial purposes without the consent of such third parties.

Conditions relating to other services

Information Services

From time to time FTA may provide you with access to various information and content (e.g. form data, results, video streaming) via our site (including micro-sites and as part of any runner data and/or results service), emails or any other means of communication. Further FTA may provide you with links to third party websites which may include information.

This information is supplied "as is" and for guidance only. Use of such information is entirely at your own risk. To the fullest extent permitted by law, FTA makes no representations or warranties of any kind, including but not limited to, the accuracy, quality or completeness of the information.

FTA shall not be liable for any action taken by you as a result of your relying on any of this information or for any loss or damage suffered by you as a result of you using such information or any third party website linked to FTA.

Any links to third party websites do not constitute an endorsement by FTA of any products or services available on such websites. You use such websites at your own risk and FTA takes no responsibility for the content on, or use of, such websites.

FTA Forum

From time to time FTA may provide you with access to an online chat forum (the "FTA Forum"). If you use the FTA Forum you agree to be bound by the FTA Forum Terms and Conditions. The FTA Forum Terms and Conditions are incorporated into this Agreement by reference.

We shall not be liable to you for any defamatory postings made by you or in relation to you. You agree to indemnify FTA against any and all loss suffered by FTA or any of its affiliated companies as a result of any FTA Forum posting made by you.

You grant FTA an irrevocable and perpetual license to use or reproduce all forum postings posted by you for any purpose and in any jurisdiction whatsoever.

Entire Agreement

This Agreement and the terms expressly incorporated into them constitute the entire and only agreement between the parties with regards to its subject matter and each party confirms that it has not been induced to accept this Agreement in reliance upon, nor has it been given, any warranty (including in particular any warranty as to merchantability, fitness for purpose or uninterrupted functionality), representation, statement, assurance, covenant, agreement, undertaking, indemnity or commitment of any nature whatsoever other than as are expressly set out in this Agreement and, to the extent that it has been, it unconditionally and irrevocably waives any claims, rights or remedies which it might otherwise have had in relation thereto.

No waiver

No failure or delay by a party to exercise any of its rights under this Agreement shall operate as a waiver thereof and no single or partial exercise of any such right shall prevent any other or further exercise of that or any other right.

Governing Law and Jurisdiction

This Agreement is governed by the laws of and subject to the jurisdiction of the courts of the country set out in the "Governing Law and Jurisdiction" clause of the relevant Specific Conditions applicable to your particular betting transaction.


Promotional codes

FTA may, in FTA's sole discretion, create, promotional codes that may be redeemed for Free Credits or other features or benefits related to a Third Party Provider's services, subject to terms that FTA establish on a per promotional code basis ("Promo Codes"). You agree that Promo Codes: (i), must be used for the intended audience purpose, and in a lawful manner; (ii) may not be duplicated, sold or transferred in any manner, or made available to the general public, unless expressly permitted by FTA; (iii) may be disabled by FTA at any time for any reason without liability to FTA; (iv) may only be used pursuant to the specific terms that FTA establish for such Promo Code; (v) are not valid for cash; and (vi) may expire prior to your use. FTA reserves the right to withhold or deduct credits or other features or benefits obtained through the use of Promo Codes by you or any other user in the event that FTA determines or believes that the use or redemption of the Promo Code was in error, fraudulent, illegal, or in violation of the applicable Promo Code or these Terms.

Part D - Conditions for customers registered in the UK

Fantasy Team Auction Limited ("FTA") provides a platform upon which our UK registered customers can participate in competitions "Service" made up of either Auctionsand DIY.

Please read these Conditions and the General Conditions carefully, before participating in any Auctions.

If you are a UK registered customer and your betting transaction is covered by these Conditions, references to "FTA", "we", "us" and/or "our" in these Conditions and in the General Conditions are to FTA.

Conditions relating to your use of the Auction

Your Conduct

You will at all times act in good faith in relation to the counterparties on any "Service" platform. Any form of collusion is strictly prohibited.

Specific Conditions for UK registered customers

Notwithstanding any statement to the contrary in these Conditions or in the General Conditions, we may elect, in certain very limited circumstances, to act as counterparty in respect to an "Service" platform. If we do so, we will take reasonable steps to bring this to your attention.

Our details (for UK registered customers)

FTA is a Limited Company registered in England and Wales at Companies House.

Governing Law and Jurisdiction

Insofar as UK registered customers are concerned, this Agreement is governed by the laws of England and Wales.

Third parties do not have the ability to enforce any part of this Agreement save in respect of the rights of counterparties to enforce your duty of good faith directly against you. This Agreement, may however be varied at any time without the consent of any counterparties to any Auction platform.


Part E - FTA Forum - Conditions of use

The FTA Forum is intended for legitimate comment and constructive discussion and the sharing of opinions on sport, gaming and other matters. FTA reserves the right to restrict posting privileges in the FTA Forum of any users who have not funded their FTA account, who have not anticipated in at least one Auction, and/or who have not been "KYC'd" to FTA's satisfaction (i.e. who have provided sufficient data relating to their identity).

All users of the FTA Forum agree not to post any item or any links to content that FTA deems:
- to be defamatory or discloses information that the user has no legal right to disclose, or is otherwise illegal;
- to be (or contains anything which is) racist, vulgar, hateful, obscene, profane, threatening, insulting or offensive;
- is intended to impersonate another person or entity;
- to contain any form of advertising, promotional materials or any form of commercial activity;
- to contain any promotion of any competitor of FTA or their products;
- to contain any, or links to any, virus, corrupted files, "Trojan Horses", key loggers or any other malicious code or material that could cause harm to the computer, data or financial security of any party;
- to contain any or links to any intentionally false or misleading statements or any statement seeking to unfairly manipulate a Auction;
- to be an attempt to collect or store data (including posting and/or canvassing email addresses) about other users;
- to be misuse of Forum functionality (including but not limited to the Report Abuse Function);
- to be protected by any form of intellectual property whether registered or unregistered or any contractual, statutory and equitable obligations of confidence (including, for example, information provided by any third party tipping service);
- to be or may amount to collusion or activities of a suspicious or criminal nature;
- is in a language other than the native language of that particular forum.

Although FTA does not moderate the FTA Forum all conversations may be logged and recorded and it has controls in place to monitor the use of the FTA Forum servers in response to complaints. FTA reserves the right to delete or refuse any posting and/or recommend to FTA that it suspend or terminate any FTA account for any reason at any time without notice. FTA may revoke your FTA Forum privileges if you act outside the guidelines set out in these terms and conditions.

FTA reserves the right to change these terms and conditions at any time by changes to the version of these terms available online and, where necessary in FTA’s discretion, by way of FTA Forum announcement. By continuing to use the FTA Forum, users agree to be bound by the most current version of these terms and conditions.

Copyright in all information and materials on the FTA Forum is owned by Fantasy Team Auction and users of the FTA Forum hereby agree to assign any copyright in their present or future postings to FTA.

FTA has no obligation to check the accuracy, completeness or truth of any information posted in the FTA Forum. A procedure will be provided for notification of objectionable posts and, upon proper notification, FTA will act expeditiously to remove any such material if, in its absolute discretion, it believes it is appropriate to do so. FTA excludes all liability for any reliance placed on information in postings.

All FTA Forum users shall protect their username and password and hereby accept all risk from others accessing or misusing their account. Users agree to notify FTA immediately if they suspect any misuse of their username/password is occurring.

Users hereby agree to indemnify and hold FTA and companies in the FTA Group harmless against all costs, claims, liability or damage (including solicitor/client costs) resulting directly or indirectly from that user's breach of these terms & conditions.

These terms & conditions are governed by the laws of England and Wales.

The courts of England and Wales have non-exclusive jurisdiction.

The Contracts (Rights of Third Parties) Act does not apply to these terms and conditions.

FTA's Privacy Policy applies to your personal data. In addition to reserving the right to disclose your details (including any material you post in the FTA Forum), in accordance with the Privacy Policy you are hereby put you on notice that, in the event of a complaint relating to any potentially defamatory material and/or material that otherwise breaches clause 4 of these terms it is the policy of FTA not to oppose an application to a court for the disclosure of personal data relating to posters in the FTA Forum (or elsewhere on FTA sites). Equally it is FTA's policy not to disclose such data unless such an order is sought; or disclosure is permitted in accordance with the FTA Privacy Policy; or disclosure is permitted by reason of any exemption in the Data Protection Act 1998 (which includes, amongst other things, the right to disclose suspicious content to the relevant authorities). In this regard your attention is specifically drawn to clauses 4 and 10 of these terms. Please think carefully before you post.


Part F - General Rules

Results and Auction settlement

General

Auctions and DIY will be settled on FTA confirming the relevant results and point scoring events. FTA’s decision shall be final and binding in all cases.

All information supplied by FTA is provided in good faith. However, FTA cannot accept liability for any errors or omissions in respect of any information.

Any results or scores of which you may be advised by a FTA employee or agent are provided for guidance purposes only.

FTA may, in its sole and absolute discretion, decide to suspend any "Service" at any time. In the interests of maintaining integrity and fairness across the “Service, FTA may also void certain purchases in an Auction or void a whole Auction in its entirety.

FTA will not add or delete any players to the Auction list once the Auction has commenced.

If it has become obvious that a material player, as deemed by FTA, is missing from the list prior to the Auction commences FTA shall endeavour to include him, which may at times result with the Auction being delayed whilst updates are made. The decision will be at the sole discretion of FTA. If the Auction is delayed you are still bound to participate in the Auction under the general conditions of the website unless otherwise identified by FTA.

If a player fails to represent his team during the round of point scoring the customer shall have no recourse against FTA.

If a match is postponed prior to the course of the point scoring round the players shall score no points. The resulting replayed game will not count towards the points, unless FTA has knowledge that the match has been rescheduled to be played within two days of its original start date.

If a match starts but is later abandoned or postponed and FTA believes that the match will not have been completed by 23:59 (local time) on its scheduled start date, then all points currently accrued for shall stand, unless FTA has knowledge that the match has been rescheduled to be played within two days of its original start date. If FTA does have knowledge that the game will be played within two days and the game is played within two days, then all points will stand except, in addition to any points accrued for in the second match unless the match is restarted from the beginning. If the match is restarted from the beginning then all points from the initial match which was abandoned will be void.

FTA makes every effort to have an accurate player list when the Auctions and DIY are first opened and makes every effort to ensure that it does not make any errors when offering player selections in the Auction. However, if as a result of technical or system problems or human error, a player is purchased in an Auction whose unavailability has already been announced FTA accepts no responsibility for the decision and you shall indemnify FTA from any further claim.

When the Auction is five minutes away from commencing the Auction will go into "lockdown". During lockdown the customer is restricted from leaving the Auction and will be bound to entering the Auction. Under no circumstance can a customer withdraw beyond this point.

If a customer/s fails to complete an Auction they shall accrue points for any players they had managed to purchase. All Auctions shall have a closing time assigned to it. Once the Auction is closed no more transactions can be conducted.

In the event that two or more customers score the same points and they are due prize money, the pot across the positions which are due a payout shall be summed up and divided by the number of people who scored the same number of points.

All points stand for a change of venue for any matches during the point scoring round.

All information supplied by FTA is done so in good faith. However, FTA cannot accept liability for any errors or omissions in respect of any information, such as the posting of prices, runners, times, scores, results or general statistics.

FTA reserves the right to correct any obvious errors and shall take all reasonable steps to ensure Auctions are administered with integrity and transparency.

If an incorrect team or competitor name is displayed (excluding minor spelling mistakes) or the incorrect number of teams, competitors or outcomes is displayed in any complete Auction or an Auction is otherwise loaded using incorrect information (for example the application of an incorrect exposure algorithm) or includes any obvious error, then FTA reserves the right to suspend the Auction and (providing it acts reasonably) to void all bets matched on the Auction.

Customers are responsible for ensuring that they satisfy themselves that the selection on which they place a bet is their intended selection. For example, in the case of a competitor bearing the same name as another individual not competing in the relevant event, the onus is on the customer to ensure that they know which competitor FTA has loaded into the relevant Auction and to ensure that they are placing their bet on their chosen competitor.

FTA may, in its sole and absolute discretion, decide to suspend betting on a Auction at any time. In the interests of maintaining integrity and fairness in the Auctions, FTA may also void certain bets in an Auction or void a whole Auction in its entirety.

On the settlement of any Auction, amounts relating to:
- winnings/losses on bets;
- commission charges will be rounded up or down to the nearest two decimal places (with the exception that rounding will always be down (and never up) in respect of amounts relating to winnings/losses in respect of BSP bets). By way of example, £4.333, will be settled as £4.33, whereas £4.335, will be settled as £4.34 (except that it will be settled as £4.33).


Part G - Customer betting disputes & IBAS

Any FTA customer who has any concerns or questions regarding the settlement of any FTA Auction should contact FTA via email at admin@fantasyteamauction.com or via the relevant telephone number. If a customer is not satisfied with how a Service has been settled then the customer should provide details of their grievance to FTA via email at admin@fantasyteamauction.com. FTA shall use its reasonable endeavours to respond to queries of this nature within a few days (but intends in any event to respond to all such queries within 14 days of receipt).

When a customer has exhausted the internal FTA betting dispute process without a satisfactory outcome, they may submit their betting dispute to IBAS, the Independent Betting Adjudication Service, or to such other independent betting adjudication service that FTA may recognise from time to time.

Following an IBAS (or equivalent) ruling FTA reserves the right at its discretion to take appropriate action which may include, amongst other things, the following options: (a) reversing settlement for all bets placed on the relevant Auction, including making adjustments to customers' accounts where necessary; or (b) paying out any customer who placed a bet on the Auction their 'net position' if that customer would have been in a better position had the Auction been settled as IBAS recommended (for example, if a customer would have won more money had the Auction been settled in that way, that customer will be paid the difference between what they originally received when the Auction was settled and the amount they would have won had the Auction been settled as IBAS recommended).

Part H - Regulatory and Company Information

FTA holds gambling licences which allows us to conduct business in a fair and regulated manner. These operating licences are described below.

Statutory information regarding other group operating companies is also provided below. Our relationships with customers, licensees, suppliers and other third parties are conducted by or on behalf of the group company which is licensed or otherwise authorised to conduct the relevant operating activity.

FTA will comply with requests from customers for access to their own data (not that of another person) which is held by us.

Dispute Resolution Policy

Introduction

We aim to meet the needs and expectations of our customers at all times, but we know that there may be occasions when you feel dissatisfied. We take any complaint received very seriously and view it as an opportunity to identify how we can improve the service we provide to our customers.

In dealing with your complaint these criteria are of utmost importance:
• we will aim to deal with your complaint promptly;
• we will treat your complaint fairly;
• we will keep you regularly informed of progress;

How to make a complaint

Should you feel you need to make a complaint initially you may contact us using one of these methods.

Who will deal with your complaint

Each complaint will be addressed by a senior member of the company. The complaint will be assessed in the context of our terms and conditions. Wherever possible we will avoid any conflict of interest.

What happens after a compliant has been lodged

The company will initially acknowledge receipt of a complaint within 24 hours indicating who will be dealing with the complaint, details of the company’s complaints procedure and the appeals process.

The company will then fully investigate the complaint and endeavour to provide a full response within the next 72 hours.

If the company cannot draw a conclusion within this 72 hour period the complainant will be given an update of progress to date, with further updates provided during each subsequent 24 hour period.

The company will provide the outcome of its investigation in writing (either by post or email). The company will again reiterate the process for further escalation if the complainant feels the company’s response is inadequate.

The customer is entitled to appeal once to the company against the decision it has made. In this event the complaint will be reviewed by a separate member of the senior management team.

Independent arbitration

Should a complainant remain unsatisfied with the company’s response at the culmination of the company’s complaints procedure they can approach a third-party organisation called IBAS (The Independent Betting Service) who adjudicate on gambling disputes. Personal Information is any information about you and may include your name and address, date of birth, payment card details, details of betting transactions and account transfers and any other information you may wish to provide. FTA is endeavouring to ensure that our business practices that involve the use of your Personal Information are compliant with privacy regulations with the law in England and Wales. Accordingly, in this policy document (the "Privacy Policy"), FTA wants not only to advise you of your privacy rights but also explain how we intend to respect them.

How your Personal Information will be used?

FTA will process your Personal Information in order to allow you access and make use of our website, to allow you to participate in the services offered, to administer your account, to maintain our accounts and records, to monitor website usage levels and the quality of the service we provide and to inform you, from time to time, about products and services that we consider may interest you and for related purposes. If you do not wish to receive future marketing, promotional or sales material from FTA, you may notify us that no further material be sent to you. Where required by law, your Personal Information may also be disclosed to an applicable governmental, regulatory, sporting or enforcement authority. Additionally, in circumstances where we deem it appropriate, your Personal Information may be disclosed to any regulatory authority (whether at the request of such authority or otherwise) which has issued FTA with a gambling operating licence.
